Terms of Service

1. Acceptance of Terms

By accessing or using Livnly ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Livnly is a calendar app for iOS and Mac, built for your life rather than your work. You can type a plan the way you would say it, plan something with other people from a single link, and read your week in one look. Livnly reads and writes the calendars already on your device; it is not a calendar hosting service. Livnly is currently in closed alpha: invite only, with access offered through an application.

3. User Accounts

Creating an account allows you to manage your calendar, events, and contacts. You are responsible for maintaining the security of your account and any activity that occurs under it.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Send spam or unsolicited messages
• Impersonate others or provide false information
• Interfere with or disrupt the Service
• Attempt to gain unauthorized access to any part of the Service

5. Access, Future Subscription and Cancellation

While Livnly is in closed alpha, access is free of charge. We do not ask for payment details, we do not collect payment, and there is nothing to cancel. Access during the alpha is granted by invitation and may be ended by either of us at any time.

When the public beta launches, Livnly becomes a paid monthly subscription. Members admitted during the closed alpha will be offered the choice to continue at a founding price, and that price then stays fixed for as long as their subscription runs without interruption; if the offer is declined, access ends and nothing is charged. Everyone who joins from the public beta launch onwards pays the standard price, with a free trial. Current pricing will be communicated to you before any charge is made, and prices are shown in euro including VAT at the rate applicable to your country of residence.

A subscription, once started, renews automatically each month until you cancel. You will be able to cancel at any time; the cancellation takes effect at the end of the month you have already paid for, and you keep access until then. Payment will be collected through the payment provider used by the platform you subscribe on, and that provider's terms apply to the transaction itself. None of this affects your statutory rights: as a consumer in the EU you have a legal right of withdrawal within fourteen days of entering into a paid contract. Because Livnly is a digital service supplied immediately, you will be asked at that point to confirm that you want performance to start at once and that you lose that right of withdrawal once the service has been fully performed within the period. If you have paid and not started using the Service, write to [email protected] within those fourteen days and we will cancel and reimburse the payment.

6. User Content

You retain ownership of content you create (events, titles, notes). By creating content, you grant us a license to display it back to you and to the people you choose to invite. You are responsible for ensuring you have the right to share any content you post.

7. Your Device And Third Parties

Livnly reads and writes the calendars on your device through the permission you grant in iOS or macOS. It does not connect to Google, Microsoft or iCloud on your behalf, so events from those accounts are governed by whatever you agreed with them and by your device settings, not by us. When you type a plan in words while signed in, that sentence and the titles of the events around it are sent to our language-model provider to be read; the Privacy Policy lists every company involved and exactly what each one receives.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, JB CAPITAL BV shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

10. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause. You may stop using the Service at any time.

12. Governing Law

These Terms are governed by the laws of Belgium. Any disputes shall be resolved in the courts of Belgium.
